Please note that this application will become a binding contract upon sending this application to Miami River Art Fair. By signing and submitting this application to Miami River Art Fair, the applicant agrees to be bound by the terms and conditions of participation described herein.
Miami River Art Fair 2016 is managed by Nina Torres Art Productions. These Conditions of Participation govern the Exhibitor’s participation in Miami River Art Fair 2016 (“the Show”). Miami River Art Fair reserves the right, at any time, without notice, to make any additional conditions or rules for participation. Miami River Art Fair reserves the right to change the dates of the fair. ART FAIR DATES VIP Preview Fair Schedule LOCATION Downtown Miami Convention Center ACCEPTANCE OF EXHIBITORS Miami River Art Fair’s Selection Committee shall act as the sole and final judge of all applications and may accept or reject applications at its sole discretion on any basis permitted by law. Acceptance for priority registration will be sent in writing by e-mail. ALLOCATION OF SPACE Miami River Art Fair will allocate Booth space for the event. Reasonable efforts will be made to accommodate Exhibitor requests concerning booth space. However, Miami River Art Fair may, at its sole discretion, change the location of allocated space, as well as alter the shape of the booth if in Miami River Art Fair’s sole judgment, circumstances demand it. Miami River Art Fair reserves the right to rearrange the layout of unoccupied areas and alter the entrances and exits to and from the exhibition space, halls and aisles as it deems necessary or advisable. BOOTH SHARING No Exhibitor may share, sublet or assign a booth either entirely or partially without written consent of Miami River Art Fair. Decisions on the approval of shared booths rest solely with Miami River Art Fair. CATALOG Miami River Art Fair will publish a catalog in connection with the fair; participation in the catalog by exhibiting artists and galleries is obligatory. PAYMENT TERMS After acceptance by the Selection Committee, Exhibitors will be invoiced for the total booth rental amount. Payment of the total booth rental must be made in three installments: a $1,500 deposit is due upon signing the application plus $500 non-refundable application fee, 50% is due following acceptance (deducting the $1,500 deposit); and the remaining or 50% balance is due within the next 30 days, no later than August 15th, 2016. Exhibitors that have not been accepted to exhibit at the Miami River Art Fair will be refunded the $1,500 deposit less the $500 non-refundable application fee. Failure to make payments by deadlines will result in automatic charges to the Exhibitor’s credit card.

Florida State officials will collect sales tax at the end of the Miami River Art Fair for sold artwork. Exhibitor is solely responsible for compliance with Florida State sales tax requirements and ensuring that it is present to pay such taxes to the Florida State tax offices. Failure to comply may result in additional interest and penalty charges on all tax liabilities. It is Exhibitor’s responsibility to make the appropriate tax payments and filings. Miami River | Art Fair bears no responsibility for the failure of Exhibitor to comply with Florida State sales tax requirements. Florida State sales tax is 7%. INSURANCE AND EXCEPTION FROM LIABILITY Exhibitors must insure all their property and any and all property entrusted to them for display or other use in connection with the Show against the risks of fire, theft, burglary, breakage, leakage and water damage, and the risks of transport to and from the show. Miami River Art Fair will not be liable for any loss or damage sustained by the Exhibitor in connection with the Show, or for the failure of the Exhibitor to obtain insurance, or for the failure of insurance to cover any loss sustained. MULTIMEDIA Consent to use of video and/or film images: Exhibitor acknowledges that Miami River Art Fair will film and document the event and Exhibitor agrees not to hinder, obstruct or interfere with such photography or video. Exhibitor and any of its artists whose works may be captured in that video or film image consent to the use of these video and/or film images by Miami River Art Fair or its agents for commercial purposes in marketing and advertising this Fair or any other fair. ELECTRICAL SERVICES Miami River Art Fair will provide common area lighting, but shall not be liable for any loss or damage due to failure or interruption of electrical service. ADDITIONAL CONDITIONS Miami River Art Fair may, if required by force majeure or other reasons beyond its control, cancel, postpone, shorten or extend the Show. The Exhibitor shall have no right or claim for any damages of any kind, arising or alleged to arise by reason of any postponement, shortening or cancellation of the Show. This Agreement is governed by the laws of the State of Florida. The parties agree that the courts located in the State of Florida shall have jurisdiction for any legal proceedings related to the exhibition. Exhibitor agrees to accept notice of additions or amendments to the Miami River Art Fair Terms and Conditions and acknowledges them as part of this agreement. Nina Torres Art Productions
